Teva agrees to be stalking-horse bidder for BioXcel's assets for up to $125 million, including $57.5 million upfront, with FDA and auction risks remaining
Teva Pharmaceutical Industries Limited (NYSE:TEVA) has agreed to serve as the initial bidder for substantially all of BioXcel Therapeutics, Inc. (NASDAQ:BTAI)'s assets in a court-supervised Section 363 auction process. The deal, valued at up to $125 million, includes an upfront payment of $57.5 million and up to an additional $67.5 million in conditional milestone payments. BioXcel filed for Chapter 11 bankruptcy protection on August 27. Analysts note the deal offers upside potential for Teva, particularly with BioXcel's neuroscience portfolio including the approved Igalmi and BXCL501, which awaits an FDA decision on expanded at-home use by November 14. However, the auction process means other bidders could raise the final price, and the FDA decision poses regulatory risk.
