SMIC announced that it plans to issue shares to the National Integrated Circuit Industry Investment Fund Co., Ltd., the Beijing Integrated Circuit Manufacturing and Equipment Equity Investment Center, Beijing Yizhuang International Investment Development Co., Ltd., Zhongguancun Development Group Co., Ltd., and Beijing Industrial Development Investment Management Co., Ltd. in exchange for the 49% equity interest in SMIC North Integrated Circuit Manufacturing Co., Ltd. that they collectively hold. On February 25, 2026, the Company received the “Notice Regarding the Acceptance of SMIC’s Application for Issuance of Shares to Acquire Assets” issued by the Shanghai Stock Exchange. The Shanghai Stock Exchange, in accordance with relevant regulations, reviewed the application documents submitted by the Company for the issuance of shares to acquire assets, determined that the application documents were complete and in compliance with statutory requirements, and decided to accept the application and conduct a review in accordance with the law.
