Svmuu News YZi Labs has accused CEA Industries of systemic governance failures, condemning its payment of nearly $1.98 million in severance compensation to a departing CEO.
YZi Labs issued a statement in response to the 10-Q and 8-K forms filed by CEA Industries (Nasdaq: BNC) on March 16, 2026. The statement points out that BNC's SEC filings disclose material weaknesses in internal control over financial reporting. Previously, the roles of CEO and Chief Financial & Accounting Officer were held by the same person, and the company lacked adequate verification controls in key areas such as revenue, taxation, and equity compensation.
YZi Labs estimates that the total value of the transition agreement for the departing CEO, David Namdar, is approximately $1.98 million. This includes a $375,000 retroactive consulting fee, approximately $276,000 in future monthly consulting fees, about $434,300 paid in cash in lieu of equity plan payments not approved by shareholders, and a $900,000 one-time severance payment tied to restrictive covenants. YZi Labs believes the restrictive covenants in the agreement, which prohibit Namdar from assisting shareholders in making any claims or taking actions affecting management, essentially function as a tool for managing control contests.
The statement also notes that BNC paid $2 million in fees this quarter to an asset management entity controlled by sitting director Hans Thomas, with cumulative payments reaching $3.8 million since June 7, 2025. Furthermore, there is a discrepancy in the 10-Q form where data for 17,648 warrant exercises could not be reconciled.
Alex Odagiu, Investment Partner at YZi Labs, stated that the board has funneled millions of dollars to related parties without holding an annual general meeting or obtaining shareholder approval. YZi Labs demands that the board publicly justify the severance compensation, release a remediation plan for the material weaknesses, and disclose the full scope of the restrictive covenants in the transition agreement.
