KKR to Pay Record $250 Million HSR Penalty, But Outside Law Firms Will Reimburse Full Amount
KKR has agreed to pay a record $250 million to settle Justice Department claims that it repeatedly ignored premerger filing rules under the Hart-Scott-Rodino Act. This is the largest penalty ever imposed under the Act, more than 20 times the previous record. However, outside law firms will reimburse the entire penalty, meaning KKR expects no financial impact on the company, its funds, or investors. The Justice Department alleged KKR evaded proper scrutiny across at least 16 transactions in 2021 and 2022.
