South Korea's Financial Services Commission (FSC) and the Korea Exchange (KRX) unveiled the key directions for updated corporate governance disclosure guidelines on November 6, aimed at strengthening the protection of minority shareholders and encouraging listed companies to implement more active dividend and return policies.

The revised guidelines cover several key areas:
- To prevent listed companies from circumventing Commercial Act regulations on cumulative voting by adjusting board size, companies are now required to disclose the reasons and impacts of such changes.
- Information disclosure regarding dual listings and paid-in capital increases that could dilute shareholder value is strengthened, mandating the disclosure of shareholder protection measures and communication details.
- Listed companies are encouraged to submit their business reports two weeks prior to the annual general meeting.
- Information disclosure regarding dividend and treasury stock policies is expanded, requiring the disclosure of three-year treasury stock changes and dividend information.

The new guidelines will fully take effect starting from the 2027 reporting year.
