Svmuu News: The Ether Machine, an Ethereum treasury company, and Dynamix Corporation (NASDAQ: DYNX), a special purpose acquisition company (SPAC), announced on Friday that they have mutually agreed to terminate their previously planned $1.6 billion merger due to unfavorable market conditions. According to a filing with the U.S. Securities and Exchange Commission (SEC), The Ether Machine is required to pay Dynamix a $50 million termination fee within 15 days.

The merger agreement, first disclosed in July 2025, was intended to list The Ether Machine on Nasdaq under the ticker ETHM. In terms of transaction size, the agreement included a fully committed $1.5 billion PIPE financing (reportedly the largest all-common-stock financing of its kind since 2021) and approximately $170 million from Dynamix's trust account, with the combined company expected to hold over 400,000 Ethereum on its balance sheet.
