The U.S. Securities and Exchange Commission (SEC) has charged BG Wealth Sharing Ltd. and DSJ Exchange Pty Ltd., two foreign-operated, Colorado-incorporated companies, with defrauding tens of thousands of retail investors of over $130 million. The SEC alleges the companies ran a crypto investment fraud from at least October 2025 through June 2026, using false federal filings to promote a “wealth-sharing program” that promised risk-free returns from crypto asset trading signals. The complaint, filed in the U.S. District Court for the Northern District of California, states that the companies made false claims of being the world's largest hedge fund, SEC registration, and partnerships with licensed platforms. Laura D’Allaird, chief of the SEC Enforcement Division’s Cyber and Emerging Technologies Unit, described the operation as a “well-planned” scheme involving social media, encrypted messaging, videoconferences, and a mobile app. The SEC alleges the companies used “Ponzi-like tactics” by making periodic payments to some investors while misappropriating the remaining funds.
